Terms of Service

These terms govern your use of Falconsoft and any project engagement with our remote IT development team. Please read them carefully before proceeding.

1. Acceptance of Terms

By accessing our website or engaging Falconsoft for any IT development services — including web application development, mobile app development, API development, or cloud infrastructure — you agree to be bound by these Terms of Service.

If you do not agree with any part of these terms, please do not use our website or services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of the revised terms.

2. Services

Falconsoft provides remote IT development services including, but not limited to: custom web application development, mobile application development (iOS and Android), API design and integration, cloud infrastructure setup and management, and technical consulting.

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties. These Terms of Service govern the general relationship between Falconsoft and its clients.

3. Client Responsibilities

Clients are responsible for providing accurate and complete project requirements, timely feedback and approvals at agreed milestones, access to necessary systems, credentials, and third-party services required for the project, and payment of invoices according to the agreed schedule.

Delays caused by the client's failure to fulfill these responsibilities may result in revised timelines and additional costs, which will be communicated in advance.

4. Intellectual Property

Upon receipt of full payment for a project, Falconsoft transfers ownership of all custom code, designs, and deliverables created specifically for that project to the client, unless otherwise agreed in writing.

Falconsoft retains ownership of any pre-existing tools, frameworks, libraries, or proprietary components used in the development process. Clients receive a non-exclusive, perpetual license to use such components as part of the delivered project.

Falconsoft reserves the right to reference the project in its portfolio and marketing materials unless the client requests confidentiality in writing.

5. Payment Terms

Payment terms are specified in each project agreement. Typically, projects require a deposit before work begins, with remaining payments tied to milestones or delivered on a monthly basis for ongoing engagements.

Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur interest charges and may result in suspension of work until the outstanding balance is settled.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. Falconsoft will not disclose client data, business logic, or technical specifications to third parties without prior written consent.

This confidentiality obligation survives the termination of the project agreement.

7. Limitation of Liability

Falconsoft shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or deliverables, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project in the three months preceding the claim.

8. Warranties and Disclaimers

Falconsoft warrants that all work will be performed in a professional manner consistent with industry standards. We provide a 30-day bug-fix warranty after project delivery for defects directly attributable to our development work.

We do not warrant that our deliverables will be error-free under all conditions, or that third-party services and APIs integrated into the project will remain available or unchanged.

9. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date.

Falconsoft reserves the right to terminate an engagement immediately if the client engages in unlawful activity, fails to make payment after reasonable notice, or acts in a manner that is abusive or harmful to our team.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
